Governance Committee

Responsibilities

The role of the governance committee is to make recommendations to the board regarding the composition and structure of the board and ensure the board is fulfilling its obligation to stockholders. Specifically, the governance committee will:

  • Facilitate communication with stockholders including maintenance of stockholder web site

  • Submit board recommendations to stockholders during annual meetings

  • Identify qualities for effective board members and top management teams; make recommendations where deficiencies exist

  • Make recommendations for leadership succession at the board and senior staff levels

  • Assist board structure in regards to size and term duration

  • Facilitate an annual self-assessment of the board

  • Recommend members and provide job descriptions for board level committees

  • Provide new board member orientation
