Uinta Software End User License Agreement (EULA) IMPORTANT—READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Juniper Systems, Inc. (Juniper) covering the software that accompanies this EULA, which includes associated media and Juniper Systems Internet based services ("Software"). ACCEPTANCE – Use of the software in any manner indicates your acceptance and acknowledgment of the terms and conditions of this agreement. If you do not agree with any of the terms and conditions, do not use the software. Return the License Key to Juniper. If the software was installed on the mobile device at the factory, you must delete it. This agreement supersedes any prior agreement, written or oral. COMPUTER SOFTWARE LICENSE - The term "computer" as used herein shall mean the Personal Computer on which the software will be installed. GRANT OF LICENSE. Juniper grants you the following rights provided that you comply with all terms and conditions of this EULA: 1. INSTALLATION AND USE – a. Except as otherwise expressly provided in this EULA, you may install and use one copy of the Software on the computer. The Software may not be installed, accessed, displayed, run, or used concurrently on or from different computers, including a workstation, terminal or other device. b. End Licensees agree not to alter, reverse engineer or disassemble the Software Application. End Licensees will not copy the Licensed Software except: (i) as necessary to read the Software Application from the media into the memory of a computer solely for the purpose of executing it on a single machine, or (ii) to create an archival copy. End Licensees agree that any such copies of the Software Application shall contain the same proprietary notices which appear on and in the Software Application. c. End Licensees may not install, access or otherwise copy or use the Software Application except as expressly authorized by this Agreement. End Licensees may not distribute, rent, loan, lease, sell, sublicense, or otherwise transfer all or any portion of the Software Application, or any rights granted in this Agreement, to any other person without the prior written consent of Juniper. d. End Licensees may not install or access, or allow the installation or access of, the Software Application over the Internet for the purposes of making the Software Application available to third parties. e. End Licensees may not modify, translate, adapt, arrange, or create derivative works based on the Software Application for any purpose. f. End Licensees may not utilize any equipment, device, software, or other means designed to circumvent or remove any form of copy protection used by Juniper or its licensors in connection with the Software Application, or use the Software Application together with any, authorization code, serial number, or other copy protection device not supplied by Juniper or its licensors. g. End Licensees may not export the Software Application outside of the country of purchase for any reason. h. Title to and ownership of the intellectual property rights associated with the Software Application and any copies remain with Juniper and its suppliers. 2. LICENSE GRANT FOR REMOTE DESKTOP – You may use remote access technologies, such as the Remote Desktop features in Microsoft Windows, to access and use your licensed copy of the Software, provided that only the primary user of the device hosting the remote desktop session accesses and uses the Software with a remote access device. These remote desktop rights do not permit you to use the Software on both the device hosting the remote desktop session and the access device at the same time. 3. LICENSE GRANT FOR DOCUMENTATION – The documentation that accompanies the Software is licensed for reference purposes only. 4. BACKUP COPY – YOU MAY MAKE A SINGLE BACK-UP COPY OF THE SOFTWARE. YOU MAY USE THE ONE BACK-UP COPY SOLELY FOR YOUR ARCHIVAL PURPOSES. EXCEPT AS EXPRESSLY PROVIDED IN THIS EULA OR BY LOCAL LAW, YOU MAY NOT OTHERWISE MAKE COPIES OF THE SOFTWARE. YOU MAY NOT LOAN, RENT, LEASE, LEND OR OTHERWISE TRANSFER THE BACK-UP COPY TO ANOTHER USER. 5. MANDATORY ACTIVATION – THERE ARE TECHNOLOGICAL MEASURES IN THIS SOFTWARE THAT ARE DESIGNED TO PREVENT UNLICENSED USE OF THE SOFTWARE. You may not be able to exercise your rights to the Software under this EULA unless you activate your copy of the Software in the manner described during the installation sequence. You may also need to reactivate the Software if you modify or replace the computer used to activate and register this software. 6. SOFTWARE RENEWAL - a. In order for the software license to be considered CURRENT, payment of annual Software Maintenance Fee is required. A current software license allows the user access to software updates, software enhancements, and documentation updates. b. The Uinta software will remain fully functional, but will remain at the last update received while the software was current. All Uinta data that has been stored on this PC will remain intact and usable. Uinta Software updates and enhancements will not be available, and support will be made available on a fee basis only. 7. SOFTWARE SUPPORT – Support for the Software is provided by Juniper free of charge to users holding a current software license for this computer. Support for users with expired licenses that do not have a current Software Maintenance Contract in place will be made available for a fee. 8. CLOUD DATABASE SERVICES – a. Cloud Database services are offered for the Uinta software to allow for backup of local data on the PC, and to allow sharing of the database between multiple PCs running the Uinta software. The Cloud Database Service is a fee based service with an associated annual fee. b. All PCs that access the Cloud Database Service must be running the latest version of the Uinta software. To ensure that each PC has the latest software installed, it is required that each copy of the Uinta software that accesses the Cloud Database Service have a current Software Maintenance contract in place. c. It is not required to use the Cloud Database Service for the Uinta software to function. If the Cloud Database Service is not used, then the Uinta software local data is not automatically backed up and it is not possible to actively share the data between multiple PCs running the Uinta software. d. Data stored on the Cloud Database Service is owned by the cloud account owner. Juniper treats cloud services data as confidential.  The data will not be sold or shared. e. If the annual fee for the Cloud Database Service is not paid, then the cloud account is deactivated and is not accessible by any of the cloud account users. If the data in the Cloud Database was not retrieved before the service expired, the cloud account owner may contact Juniper to get a copy of the data. The data will be retained in the cloud database for a maximum of 6 months from the date the account expired. There may be a fee associated with this data retrieval service. 9. INTERNET AND SERVICES – a. You may not use any Juniper, or its suppliers, Internet-based services associated with the Software in any manner that could damage, disable, overburden, or impair such services or interfere with any other party's use of them. You may not attempt to gain unauthorized access to any service, account, computer systems or networks associated with the Internet-based services. b. You may not, nor may you permit your users, to upload any content to the Services, or use the Services to display or store any content: 1. for which you do not have all necessary permissions from the copyright holder(s); 2. which includes nudity or is obscene, indecent or pornographic; 3. which is intended to exploit minors in any way; 4. which incites, advocates, or expresses hatred, bigotry, racism, or gratuitous violence; or 5. which is intended to threaten, stalk, defame, defraud, degrade, victimize, or intimidate an individual or group of individuals for any reason, including on the basis of age, gender, disability, ethnicity, sexual orientation, race, or religion, or to incite or encourage anyone else to do so. 10. RESERVATION OF RIGHTS AND OWNERSHIP – a. Juniper reserves all rights not expressly granted to you in this EULA. The Software is protected by copyright and other intellectual property laws and treaties. b. Juniper owns the title, copyright, and other intellectual property rights in the Software. c. The Software is licensed, not sold. This EULA does not grant you any rights to trademarks or service marks of Juniper or its suppliers. 11. LINKS TO THIRD PARTY SITES – a. Juniper is not responsible for the contents of any third-party sites or services, any links contained in third-party sites or services, or any changes or updates to third-party sites or services. b. Juniper is providing these links and access to third-party sites and services to you only as a convenience, and the inclusion of any link or access does not imply an endorsement by Juniper of the third party site or service. 12. ADDITIONAL SOFTWARE/SERVICES - a. This EULA applies to updates, supplements, add-on components, or Internet-based services components of the Software ("Supplemental Components") that Juniper may provide to you or make available to you after the date you obtain your initial copy of the Software, unless other terms are provided along with the Supplemental Components. If other terms are not provided along with such Supplemental Components and the Supplemental Components are provided to you by Juniper, then you will be licensed by such entity under the same terms and conditions of this EULA. b. ALL DISCLAIMER OF WARRANTIES, EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES, AND LIMITATION OF LIABILITY AND REMEDIES LISTED IN THIS EULA SHALL APPLY TO SUCH SUPPLEMENTAL COMPONENTS. c. Juniper reserves the right to discontinue Internet-based services provided to you or made available to you through the use of the Software. 13. UPGRADES – a. To use Software identified as an upgrade, you must first be licensed for the software identified by Juniper as eligible for the upgrade. After installing the upgrade, you may no longer use the original software that formed the basis for your upgrade eligibility, except as part of the upgraded software. b. Software upgrades are only made available to users with a current Software Maintenance Contract in effect for this computer. 14. NOT FOR RESALE SOFTWARE – Software identified as "Not for Resale", "NFR," or “Demo” may not be sold or otherwise transferred for value, or used for any purpose other than demonstration, test or evaluation. 15. TERMINATION – Without prejudice to any other rights, Juniper may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software and all of its component parts. 16. DISCLAIMER OF WARRANTIES – The Software has no warranty, express or implied. Juniper provides the Software and support services AS IS AND WITH ALL FAULTS, and hereby disclaim all other warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) implied warranties, duties or conditions of merchantability, of fitness for a particular purpose, of reliability or availability, of accuracy or completeness of responses, of results, of workmanlike effort, of lack of viruses, and of lack of negligence, all with regard to the Software, and the provision of or failure to provide support or other services, information, software, and related content through the Software or otherwise arising out of the use of the Software. 17. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW – IN NO EVENT SHALL JUNIPER OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), MISREPRESENTATION, STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY JUNIPER AND ITS SUPPLIERS, AND EVEN IF JUNIPER OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 18. LIMITATION OF LIABILITY AND REMEDIES – To the maximum extent permitted by applicable law, Juniper and its suppliers shall not be liable for any damages whatsoever (including without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising out of the use or inability to use the Software, even if Juniper and its suppliers have been advised of the possibility of such damages. In any case Juniper and any of its suppliers' entire liability under any provision of this EULA shall be limited to the amount actually paid by you for the Software. 19. APPLICABLE LAW - This EULA is governed by the laws of the State of Utah. 20. ENTIRE AGREEMENT; SEVERABILITY – This EULA (including any addendum or amendment to this EULA which is included with the Software) is the entire agreement between you and Juniper relating to the Software and the support services and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA. If any provision of this EULA is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
